TrueBuild Customer Terms of Service

1. Definitions

• "Customer" or "Homeowner": An individual who uses the Platform to create project briefs, receive AI-generated summaries, or submit project information for home renovation or improvement projects.
• "Contractor": A licensed professional or business entity that uses the Platform to connect with Customers for home renovation and improvement projects.
• "Platform": The TrueBuild website, applications, and all related services.
• "Content": Any text, images, data, project descriptions, summaries, or other materials submitted to or generated through the Platform.
• "Project Brief": A structured description of your renovation project, including AI-generated summaries and keyword selections, created through the Platform.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract under applicable law. By using the Platform, you represent and warrant that you meet these requirements.

3. Account Registration and Security

3.1. You must provide accurate, current, and complete information during registration and keep your account information updated.

3.2. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3.3. You must notify us immediately at legal@truebuild.io if you suspect unauthorized access to your account.

3.4. We reserve the right to suspend or terminate any account at any time, with or without cause or notice.

4. Platform Services

4.1. The Platform allows you to describe renovation projects, receive AI-generated project summaries and keyword suggestions, and be connected with qualified Contractors in your area.

4.2. TrueBuild is an informational and matchmaking tool only. TrueBuild does not provide contracting, construction, design, or home improvement services. TrueBuild is not a party to any agreement between you and a Contractor.

4.3. TrueBuild does not endorse, guarantee, or assume responsibility for any Contractor's work, qualifications, licensing status, pricing, or conduct. While we take steps to verify Contractor credentials, you are solely responsible for evaluating and selecting any Contractor you engage with.

4.4. The Platform is provided free of charge to Customers. We reserve the right to introduce paid features or services in the future, which will be subject to additional terms presented at the time of purchase.

5. Sharing Your Information with Contractors

5.1. When you submit your project information and contact details through the Platform, you understand and agree that this information — including your name, email, phone number, ZIP code, project description, and related details — will be shared with one or more Contractors for the purpose of connecting you with qualified professionals and facilitating consultations.

5.2. Once your information is shared with a Contractor, that Contractor may contact you directly regarding your project. TrueBuild does not control how Contractors use your information after it is disclosed. You are encouraged to ask any Contractor about their own privacy practices.

5.3. You may be contacted by multiple Contractors for a single project. If you no longer wish to be contacted, you should communicate that directly to the Contractor(s).

6. AI-Generated Content

6.1. The Platform uses artificial intelligence to generate project summaries, keyword suggestions, concept images, and other content. AI-generated content is provided for informational and illustrative purposes only.

6.2. TrueBuild makes no representations or warranties regarding the accuracy, completeness, reliability, or fitness for any particular purpose of AI-generated content. AI outputs may contain errors, omissions, or inaccuracies.

6.3. You should independently verify all AI-generated information before relying on it for any purpose, including project planning, budgeting, or contracting decisions.

7. User Content and Intellectual Property

7.1. You retain ownership of Content you submit to the Platform. By submitting Content, you grant TrueBuild a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, distribute, display, and create derivative works from your Content for the purposes of operating, improving, and promoting the Platform.

7.2. You represent that you have all necessary rights to submit your Content and that it does not infringe any third-party rights.

7.3. The Platform, including its design, software, text, graphics, logos, and trademarks, is the property of TrueBuild or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our prior written consent.

8. Prohibited Conduct

You agree not to:

(a) Use the Platform for any unlawful purpose or in violation of these Terms.

(b) Submit false, misleading, or fraudulent information.

(c) Interfere with or disrupt the Platform's operation, security, or infrastructure.

(d) Attempt to gain unauthorized access to any part of the Platform, other accounts, or connected systems.

(e) Use automated means (bots, scrapers, crawlers) to access or collect data from the Platform without our prior written consent.

(f) Harass, threaten, or abuse other users.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TRUEBUILD EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TRUEBUILD DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TRUEBUILD DOES NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE PLATFORM, INCLUDING AI-GENERATED CONTENT OR CONTRACTOR INFORMATION.

TRUEBUILD IS NOT A CONTRACTOR, CONSTRUCTION COMPANY, OR HOME IMPROVEMENT PROVIDER. WE DO NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY CONTRACTOR'S WORK, QUALIFICATIONS, LICENSING STATUS, OR CONDUCT. ANY ENGAGEMENT BETWEEN YOU AND A CONTRACTOR IS SOLELY BETWEEN YOU AND THAT CONTRACTOR.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRUEBUILD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF TRUEBUILD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THIS INCLUDES, WITHOUT LIMITATION, ANY DAMAGES ARISING FROM:

• (A) ANY CONTRACTOR'S WORK, CONDUCT, REPRESENTATIONS, OR FAILURES;
• (B) ANY INTERACTIONS OR DISPUTES BETWEEN YOU AND A CONTRACTOR;
• (C) RELIANCE ON AI-GENERATED CONTENT, PROJECT SUMMARIES, OR ANY INFORMATION PROVIDED THROUGH THE PLATFORM;
• (D) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS.

TRUEBUILD'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless TrueBuild and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

(a) Your use of the Platform.

(b) Your violation of these Terms or any applicable law.

(c) Your Content or any information you submit through the Platform.

(d) Any dispute between you and a Contractor.

(e) Your negligence or willful misconduct.

12. Dispute Resolution and Arbitration

12.1. Informal Resolution

Before initiating any formal proceeding, you agree to contact us at legal@truebuild.io and attempt to resolve the dispute informally for at least thirty (30) days.

12.2. Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved informally shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, except as modified herein. The arbitration shall be conducted in [CITY], California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3. Class Action Waiver

YOU AND TRUEBUILD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

12.4. Small Claims Exception

Either party may bring an individual action in small claims court in the county where you reside (if in California) or in [COUNTY] County, California, provided the claim falls within the court's jurisdictional limits.

12.5. Opt-Out

You may opt out of the arbitration and class action waiver provisions by sending written notice to [MAILING ADDRESS] within thirty (30) days of first accepting these Terms. The notice must include your name, address, email, and a clear statement that you wish to opt out.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in [COUNTY] County, California.

14. Termination

14.1. You may terminate your account at any time by contacting us at legal@truebuild.io or using the account deletion feature on the Platform, if available.

14.2. TrueBuild may suspend or terminate your access to the Platform at any time, for any reason or no reason, with or without notice.

14.3. Upon termination, your right to use the Platform ceases immediately. Sections 7, 9, 10, 11, 12, 13, and 15 through 18 survive termination.

14.4. TrueBuild is not liable to you or any third party for any termination of your access to the Platform.

14.5. Information previously shared with Contractors cannot be recalled upon account termination.

15. Modifications to Terms

TrueBuild reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Your continued use of the Platform after the effective date of any modifications constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.

16. Communications

By creating an account, you consent to receive electronic communications from TrueBuild, including service-related emails, transactional messages, and, unless you opt out, marketing communications. You may opt out of marketing communications at any time through your account settings or by following the unsubscribe instructions in any marketing email. Opting out of marketing communications does not affect our ability to send you service-related or transactional messages.

17. Miscellaneous

17.1. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and TrueBuild regarding your use of the Platform.

17.2. Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

17.3. Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

17.4. Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. TrueBuild may assign its rights and obligations without restriction.

17.5. Force Majeure. TrueBuild shall not be liable for any failure or delay caused by circumstances beyond its reasonable control, including natural disasters, pandemics, war, terrorism, government actions, labor disputes, or infrastructure failures.

17.6. No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.

17.7. Headings. Section headings are for convenience only and do not affect interpretation.
